Mergers & Acquisitions
Frequently, potential clients approach M&A Capital with a stated desire to "sell" their business. M&A Capital strives to determine the true desires of the shareholder such as maximizing liquidity, estate planning, reducing responsibility, or simply providing for more leisure time. There are infinite combinations that are possible in determining the "best" buyer, capital source and structure for an M&A transaction depending on the client's objectives. M&A Capital frequently pursues a "parallel process" of a sale, recapitalization and management buyout to determine the best structure to achieve a client's goals.
Sale
In instances where a shareholder desires to maximize its liquidity by selling 100% of their interest, the combination of:
- M&A Capital's proprietary database;
- M&A Capital's purchased databases;
- the depth of its professionals to identify all viable strategic buyers; and
- relationships with the broad range of financial and, in some cases, strategic buyers, ensures that "no stone is left unturned" when identifying qualified buyers.
The same care is given to every stage of a well-thought out and orchestrated process.
Recapitalization
Shareholder liquidity and estate planning objectives can frequently be achieved without a complete sale of a company. Recapitalizations can take the form of a control or non-control transaction and provides the shareholder with the opportunity to take a "second bite at the apple" in the event that the business performs well post closing while concurrently allowing the shareholder to diversify a material portion of their personal wealth. The financial partner can, at times, provide a strategic benefit through outside relationships and improved operational planning.
Management Buyout
Management teams are often uniquely positioned to acquire the company or division that they manage. An MBO provides management teams with the ability to control their own destiny through equity ownership, and affords sellers the opportunity for a confidential sale, on a timely basis at a fair value. Utilizing its investment banking and valuation expertise in combination with its knowledge of the debt and equity markets, M&A Capital can assist management teams in buying companies or divisions by assessing the viability of an MBO, developing a transaction structure, culminating in a signed LOI, and sourcing the required capital.
